Last Updated: 22 October 2026

These Terms and Conditions (“Terms”) govern the provision of website design, hosting, and related services (“Services”) by the service provider (“we,” “us,” “our”) to the client (“you,” “your,” “Client”).

By purchasing the Services, you agree to be bound by these Terms.

—

1. The Offer

1.1 First-Year Package: Includes one co.za domain registration, one email account, development of a standard website, and first-year hosting.

1.2 Ongoing Hosting (per annum): Payable from the second year onward, covering hosting renewal for one standard website and co.za domain renewal.

1.3 Non-VAT Vendor: We are not registered for Value-Added Tax. Our prices do not include VAT because no VAT is chargeable on our supplies.

—

2. What Is Not Included

The following services are excluded from the First-Year Package and Ongoing Hosting fee. They may be quoted and billed separately upon request:

  • Premium SSL certificates
  • E-commerce functionality
  • Active website management (monitoring, updating)
  • Graphic design (eg: designing logos and other artwork are separate)
  • Alterations to the website after initial development has been finalised and accepted
  • International domain extensions (TLDs other than co.za carry additional costs)
  • SaaS (Software as a Service) development
  • API / web service integrations
  • SEO setup and management
  • Large Language Model (LLM or “AI”) hosting

—

 3. Domain Registration

3.1 The co.za domain will be registered in the Client’s name. The Client is the registrant of record.

3.2 Domain renewals are subject to the ongoing hosting fee. If the Client cancels the hosting service, the domain remains the Client’s property, but the Client assumes responsibility for renewal fees and administration.

—

4. Payment Terms

4.1 The First-Year Package fee is payable as a 50% deposit before commencement of development with the remaining 50% due upon conclusion of the development, unless otherwise agreed in writing.

4.2 The Ongoing Hosting fee is payable annually in advance from the second year onward. All prices quoted ahead for future renewals are calculated according to current upstream costs and may be subject to change without notice.

4.3 All prices are in South African Rand (ZAR).

—

5. Client Responsibilities

5.1 The Client must provide all necessary content (text, images, logos) in a usable digital format within agreed timelines. Delays may extend project timelines.

5.2 The Client warrants that all materials provided do not infringe any third-party intellectual property rights, and indemnifies us against any claims arising from such infringement.

5.3 The Client is responsible for ensuring that website content complies with all applicable laws and regulations.

—

6. Intellectual Property

6.1 Upon full payment, the Client owns the final website design and content created specifically for the Client.

6.2 We retain ownership of all pre-existing tools, frameworks, templates, and know-how used in development. A license to use these components is granted to the Client for the life of the website.

6.3 Third-party assets (fonts, stock images, plugins) are subject to their respective licenses. The Client is responsible for maintaining those licenses after handover.

—

7. Fixed-Term Agreement & Cancellation

7.1 The ongoing hosting arrangement is a fixed-term agreement renewed annually.

7.2 The Client may cancel the ongoing hosting service by providing 20 business days’ written notice before the renewal date.

7.3 Upon cancellation, the Client remains liable for any fees due up to the cancellation date. A reasonable cancellation charge may apply if cancellation occurs mid-term, taking into account the remaining hosting period and administrative costs.

7.4 If the Client does not provide cancellation notice, the agreement may continue on a month-to-month basis at the equivalent monthly rate.

—

8. Limitation of Liability

8.1 We are not liable for loss or damage arising from causes beyond our reasonable control, including but not limited to network failures, third-party hosting issues, or acts of God.

8.2 We do not guarantee uninterrupted, error-free, or secure operation of the website. Third-party platforms, DNS, and external systems are outside our control.

8.3 Our total liability to the Client is limited to the fees paid by the Client for the Services.

—

9. Termination for Breach

9.1 Either party may terminate this agreement if the other party commits a material breach and fails to remedy it within 14 days of written notice.

—

10. General

10.1 These Terms are governed by the laws of the Republic of South Africa.

10.2 The Consumer Protection Act 68 of 2008 applies where the Client qualifies as a consumer under that Act.

10.3 We reserve the right to amend these Terms. Amendments will apply to renewals occurring after notice is given.

10.4 Any dispute arising from these Terms shall first be referred to good-faith negotiation before legal action is instituted.
